In colonial times, the concept of consideration was exported to many common law countries, [who?], but it is unknown in Scotland and in civil courts.  Systems based on Roman law do not ask for consideration and do not recognize them, and some commentators have suggested abandoning reflection and replacing it as the basis for contracts.  However, legislation, not judicial development, was seen as the only way to eliminate this entrenched doctrine. Lord Justice Denning said, “The doctrine of consideration is too strong to be toppled by a side wind.”  In the United States, the focus has been on the negotiation process, as illustrated by Hamer v. Sidway (1891). The agreements and contracts are similar, but certainly not the same. Both have their pros and cons and are useful in different situations. If you know what they are best suited to, you can decide when it`s time to use a contract and when it`s normal to rely on an agreement. Informal agreements do not meet the definition of a contract. You may feel comfortable with a simple agreement if you know the other party and trust them.
You can also use an agreement instead of a contract if a contract doesn`t seem worth it. It is unlikely that you will need a contract to drive your friend to the airport in exchange for $10 for gas. In order to claim damages, an applicant must prove that the offence caused foreseeable harm.   Hadley v Baxendale found that the predictability test was both objective and subjective. In other words, is it predictable for the objective viewer or for contracting parties who may have particular knowledge? With respect to the facts of this case, in which a miller lost production because a support delayed the removal of broken mill parts for repair, the court found that no damage should be paid, since the damage was not foreseeable either by the “reasonable man” or by the porter, both of whom expected the miller to have a spare part in the camp. It is an objective question as to whether a clause is at the root of a treaty. For example, the requirement for an actress to perform the opening night of a theatrical production is a condition while a singer`s commitment to perform during the first three days of rehearsal is a guarantee.
